By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

3. User Accounts
- You are responsible for maintaining the confidentiality of your account credentials
- You must provide accurate and complete registration information
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorised use of your account
- We reserve the right to suspend or terminate accounts that violate these Terms
4. Permitted Use
You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates applicable UK or international laws or regulations
- Attempt to gain unauthorised access to any part of the Services, other accounts or computer systems
- Interfere with or disrupt the integrity or performance of the Services
- Transmit any viruses, malware or other harmful code

5. Intellectual Property
All content, software, designs, graphics, logos, trademarks, data, text and other materials on our Services are owned by or licensed to MASH Virtual Ltd and are protected by UK and international intellectual property laws including the Copyright, Designs and Patents Act 1988.

- Our name, logo and all related names, logos, product and service names are our trademarks — you may not use them without our written permission
- Any feedback, suggestions or ideas you provide may be used by us without obligation to you
6. User Content
Where our Services allow you to submit, upload or share content (including assessment responses, video recordings, documents, learning data and other materials):
- You retain ownership of your content
- You grant us a non-exclusive, worldwide, royalty-free licence to use, process and store your content as necessary to provide the Services
- You are responsible for ensuring your content does not infringe any third-party rights or violate any laws
- We reserve the right to remove content that violates these Terms
7. SaaS and Platform-Specific Terms
Where you subscribe to or use our SaaS platforms (assessment systems, LMS, marking systems, video interview platforms, career advisory tools):
- Access is granted on a subscription or licence basis as agreed in your service agreement
- White-labelled platforms remain our intellectual property; you are granted a limited licence to use them under your branding
- Service level agreements (SLAs), support terms and data processing agreements may apply as set out in your individual contract
- We may update features, functionality or interfaces with reasonable notice
8. AI and Automated Processing
Some of our Services use artificial intelligence and machine learning for features such as adaptive testing, career mapping, learner analytics and predictive diagnostics. By using these features:
- You acknowledge that AI-generated outputs are advisory and should not be the sole basis for significant decisions
- You have the right not to be subject to solely automated decision-making that has legal or significant effects (in accordance with UK GDPR Article 22)
- You may request human review of automated decisions by contacting us
9. Third-Party Services and Links
Our Services may contain links to or integrations with third-party websites and services, including social media platforms (LinkedIn, Facebook, Instagram, X/Twitter, YouTube). We are not responsible for the content, practices or availability of third-party services. Your use of third-party services is subject to their own terms and policies.
10. Limitation of Liability
To the fullest extent permitted by law:
- Our Services are provided "as is" and "as available" without warranties of any kind, express or implied
- We shall not be liable for any indirect, incidental, special, consequential or punitive damages
- Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim
- Nothing in these Terms excludes or limits our liability for death, personal injury caused by our negligence, fraud, or any liability that cannot be excluded under English law

You agree to indemnify and hold harmless MASH Virtual Ltd, its directors, employees and agents from any claims, losses, damages, liabilities and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
- We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice
- You may stop using the Services at any time
- Upon termination, your right to use the Services ceases immediately
- Provisions that by their nature should survive termination (intellectual property, limitation of liability, indemnification) shall survive
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after changes constitutes acceptance. We encourage you to review these Terms periodically.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
